Summary of HOA Bylaws Regarding Officers & Meetings

Foothills of Forest Parks Neighborhood Association

1. MEMBERSHIP – Membership in the HOA shall consist of those who pay annual dues.* Only
members are allowed to vote in matters before the HOA. (lnterpretation: We consider the
annual dues due by April 1.. Therefore, prior to that time each year, membership shall be
considered to include both those who have paid in the previous year as well as those who have
paid in the first quarter of the current year. OPTION B: one year from payment.)

2. ANNUAL MEETING – An annual meeting will be held each year in January.
a. Seven board members are elected by secret ballot.
b. Meetings should be announced at least seven days in advance.
c. A quorum consists of one fifth of the voting members.
d. A budget is approved.
e. Amount of annual dues is set.

3. OFFICERS – Officers are elected from amongst the Board members: a President, Vice-President,
Secretary, and Treasurer. (lnterpretation: This should happen immediately following the HOA
Annual Meeting in January. Until that time, the previous year’s president presides.)

4. BOARD OF DIRECTORS – The Board of Directors will meet quarterly and at other times as needed.
Meeting by telephone or other electronic means is acceptable. (lnterpretation: A good meeting
schedule would be February, April, August, and October.)

The Board shall maintain
a. Minutes of meetings of the Board and of the HOA, including administration of funds.
b. A roll of members of the HOA (see #1) and changes in membership of the HOA.
c. Resolutions adopted by the Board.
d. Appropriate accounting records.
e. Articles of incorporation.
f. Bylaws

5. COMMITTEES – The board may establish committees as it deems necessary. Current committees include

b. Events Committee
